1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the https://sdrepallet.com website and all products and services offered by SD Re Pallet LLC("SD Re Pallet," "we," "us," or "our"). By accessing our website or purchasing our products and services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Products and Product Conditions

2.1 New Pallets

New pallets are manufactured to industry-standard specifications and are free from structural defects at the time of delivery. New pallets carry a quality guarantee: if a pallet arrives damaged or fails to meet the agreed specification, contact us within 48 hours of delivery for a replacement.

2.2 Recycled and Used Pallets

Recycled and used pallets are sold "as-is" based on their graded condition at the time of sale. While we inspect and grade every pallet before resale, recycled pallets may exhibit cosmetic wear, minor staining, stamp marks, or other signs of prior use that do not affect structural integrity. The grading system is as follows:

• Grade A (Like New): Minimal cosmetic wear. No broken boards, no protruding nails. Suitable for export and retail display.
• Grade B (Good): May have minor cosmetic imperfections, light staining, or repaired boards. Fully functional for standard warehouse and shipping use.
• Grade C (Economy): Shows visible wear, may include repaired sections or darker staining. Structurally sound for one-way shipping and storage. Not recommended for automated systems.

We do not guarantee that recycled pallets will be free from all cosmetic defects. By purchasing recycled pallets, you acknowledge and accept the "as-is" nature of the product within its stated grade.

2.3 Custom Pallets

Custom pallets are built to your specifications. Once a custom order has been confirmed and production has begun, the order cannot be cancelled. All custom dimensions, materials, and treatments must be approved in writing (including email) before manufacturing starts.

3. Pricing and Payment

All prices quoted are valid for 7 days unless otherwise stated in writing. Prices are subject to change based on lumber market conditions and availability. Payment terms will be specified on your invoice. We accept payment by check, ACH transfer, and credit card. A late fee of 1.5% per month may apply to overdue balances.

4. Delivery Terms

4.1 Scheduling

Delivery dates are estimates and are not guaranteed. We will make commercially reasonable efforts to deliver on the agreed-upon date, but delays may occur due to weather, traffic, equipment issues, or supply constraints. We will notify you as soon as possible if a delay is anticipated.

4.2 Delivery Area

We deliver throughout California. Delivery fees depend on distance from our facility at 3396 Investment Blvd, Hayward, CA 94545 and order volume. Delivery fee schedules are provided at the time of quoting. Large orders may qualify for free delivery.

4.3 Receiving

You are responsible for providing a safe, accessible delivery location with adequate space for our delivery vehicle. If our driver cannot safely access the delivery point, we reserve the right to leave the pallets at the nearest accessible location or reschedule. A re-delivery fee may apply for failed delivery attempts caused by inaccessible locations.

4.4 Inspection at Delivery

You should inspect all pallets upon delivery. Any visible damage or discrepancy in count must be noted on the delivery receipt and reported to us within 48 hours. Claims made after 48 hours may not be honored.

5. Returns and Refunds

5.1 New Pallets

New pallets that arrive defective or do not match the confirmed specifications may be returned for a full replacement. Contact us within 48 hours of delivery to arrange a return. Pallets must be unused and in the condition they were delivered.

5.2 Recycled/Used Pallets

Due to the "as-is" nature of recycled pallets, returns are accepted only if the pallets do not match the agreed-upon grade or if there is a significant discrepancy in quantity. Cosmetic issues consistent with the pallet's stated grade do not qualify for a return. All return requests must be made within 48 hours of delivery.

5.3 Custom Orders

Custom pallets are non-returnable and non-refundable unless they fail to meet the written specifications approved before production. Dimensional tolerances of +/- 1/4 inch are standard for wood pallets and are not considered defects.

5.4 Refund Process

Approved refunds are processed within 10 business days after the returned pallets have been received and inspected at our facility. Refunds are issued using the original payment method. Delivery fees are non-refundable unless the return is due to our error.

6. Pallet Buyback and Removal

When we purchase or remove pallets from your location, the price paid (if any) is determined after on-site inspection. Quoted buyback prices are estimates and may be adjusted based on the actual condition and quantity of pallets at the time of pickup. Once pallets are loaded onto our truck, ownership transfers to SD Re Pallet.

7. Heat Treatment Services

Heat treatment services comply with ISPM-15 international standards. Treated pallets will bear the appropriate IPPC stamp. We are not responsible for pallets being rejected at international borders due to destination-country regulations beyond ISPM-15 compliance. It is your responsibility to verify that heat-treated pallets meet all import requirements for your target destination.

8. Limitation of Liability

To the maximum extent permitted by law:

• SD Re Pallet shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our products or services, including but not limited to loss of profits, business interruption, or damage to goods stored on or transported by our pallets.
• Our total liability for any claim arising out of or relating to our products or services shall not exceed the amount you paid for the specific product or service giving rise to the claim.
• We are not liable for damages resulting from misuse, overloading, improper storage, or modification of pallets after delivery.
• We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, labor disputes, supply shortages, government actions, or transportation disruptions.

9. Indemnification

You agree to indemnify, defend, and hold harmless SD Re Pallet LLC, its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your misuse of our products, violation of these Terms, or negligence.

10. Intellectual Property

All content on this website, including text, images, logos, and design elements, is the property of SD Re Pallet LLC or its licensors and is protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

11. Website Use

Our website is provided for informational purposes and to facilitate business inquiries. You agree not to use the Site to submit false or misleading information, attempt to gain unauthorized access to our systems, or engage in any activity that disrupts the Site's functionality.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Alameda County, California.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be reflected by updating the "Effective Date" above. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
